General Contract Terms and Conditions

These General Terms and Conditions (hereinafter "GTC") govern all sales, offers, orders, deliveries and related legal relationships between POLINVENT Kft. (hereinafter "the Seller") and any Buyer, regardless of how the order is placed (including via e-mail, proforma invoice acceptance, order confirmation, or otherwise). By placing an order, accepting an offer, receiving Products, or making any payment, the Buyer expressly and unconditionally accepts these GTC in full. These GTC apply to the exclusion of any other terms that Buyer seeks to impose, or which are implied by trade, custom, practice or course of dealing.

These GTC apply only where POLINVENT Kft. is the seller, supplier, or contracting party named in the relevant quotation, proforma invoice, order confirmation, invoice, contract, or other commercial document. These GTC do not by themselves govern any transaction carried out by any other legal entity.

Polinvent USA Inc. is a separate legal entity from POLINVENT Kft. and is not the seller under these GTC unless Polinvent USA Inc. is expressly identified as the contracting seller in the relevant commercial documentation. Buyers seeking USA-specific sales handling, USA-specific terms, USA-specific GTC, or other USA-entity-specific commercial or legal matters should contact Polinvent USA Inc. directly.

Should any inconsistency arise between these GTC and the terms of an individual sales contract, the expressly stated provisions of that contract shall prevail. Any other terms or rules shall apply only if expressly confirmed by the Seller in a written document.

The current version of these GTC is always available on the Seller's website at www.polinvent.com and applies to all contracts concluded after its publication. The Seller reserves the right to modify these GTC at any time. Such modifications shall apply only to Orders placed and contracts concluded after the publication of the revised GTC. Amendments shall not retroactively affect existing contracts. Continued business, acceptance of delivery, or placement of new orders after any update constitutes acceptance of the revised GTC. Material changes will be notified by e-mail where reasonably possible.

Should any provision of an individual sales contract or of these GTC be held wholly or partly invalid, the remainder of the agreement shall remain in force unless it is established that the Parties would not have concluded the agreement without the invalid provision. The Parties shall replace any invalid provision with a valid and enforceable substitute, where necessary.

Payment terms and the exact due date for each transaction are those expressly stated on the Seller's invoice or order confirmation.
